- [F1]Disposed of pursuant to the Agreement and Plan of Merger (the "Merger Agreement"), dated as of March 11, 2020, by and between Provident Financial Services, Inc. ("Provident") and SB One Bancorp ("SB One"). SB One merged with and into Provident, with Provident continuing as the surviving entity (the "Merger"). At the effective time of the Merger (the "Effective Time"), each share of SB One common stock issued and outstanding immediately prior to such time was converted into the right to receive 1.357 shares of Provident common stock, with a market value of $18.52 per share of SB One common stock based on the closing price of Provident common stock on July 31, 2020.
- [F2]Pursuant to the Merger Agreement, as of the Effective Time, outstanding options, whether vested or not, became fully vested in accordance with the terms of the Merger Agreement and were cancelled in exchange for a cash payment equal to the number of shares of SB One common stock underlying the options multiplied by the excess of the product of the 1.357 exchange ratio and $14.142 (which represents the average of the closing sales price of a share of Provident common stock for the ten consecutive trading days ending on the fifth trading day preceding the closing date) over the per share exercise price, less any applicable withholding for taxes.
