Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangement of Certain Officers.

On August 27, 2025, Hillman Solutions Corp. (the “Company”) notified Scott C. Ride, President of Hillman Canada, of a reorganization of the personnel reporting structure of the Company. This personnel reorganization will result in Mr. Ride leaving the Company on September 29, 2025. The Company and Mr. Ride are currently negotiating the terms of his separation agreement that will be finalized at a later date.
