The PSUs will vest on August 21, 2026, if and to the extent the volume-weighted average price of a share of the Class A Common Stock of the Issuer equals or exceeds certain thresholds for the 60 consecutive trading days immediately preceding August 21, 2026, provided that in the event of a Change in Control (as defined in the Omnibus Incentive Plan) prior to August 21, 2026, the PSUs will convert to time-based restricted stock units that will fully vest on August 21, 2026, subject to the Reporting Person's continued employment with the Issuer through such date.
