On March 2, 2026, VERAXA Biotech AG, a company duly organized, validly existing, and in good standing under the laws of Switzerland (“VERAXA” or “Company”) will issue a press release (the “Press Release”) announcing that the VERAXA shareholders approved the merger and issuance of new shares to Voyager Acquisition Corp., a Cayman Islands exempted company (“SPAC”). The Press Release is attached hereto as Exhibit 99.1 and incorporated by reference herein.
