Item 2.02 Results of Operations and Financial Condition.

On February 24, 2026, Shoals Technologies Group, Inc. (the “Company”) issued a press release announcing its financial results for the full year and three months ended December 31, 2025. In the press release, the Company also announced that it would be holding a conference call on February 24, 2026 to discuss its financial results for the full year and three months ended December 31, 2025. The full text of the press release is furnished herewith as Exhibit 99.1 and is incorporated herein by reference.
