Each of Geoff Gannon (Gannon) and Andrew Kuhn (Kuhn) serves as a managing member of Focused Compounding Capital. Accordingly, each of Focused Compounding Capital, Gannon and Kuhn could be deemed to be an indirect beneficial owner of such Shares owned by Focused Compounding Fund.
