- [F1]Represents performance stock units, each of which represents a contingent right to receive one share of common stock, $0.001 par value per share ("Common Stock"), of a.k.a. Brands Holding Corp. (the "Company"). The performance stock units vest in ten separate tranches based on the achievement of predetermined price per share goals for each tranche. The performance stock units vest on the later of (i) April 1, 2025 and (ii) the date on which the price per share goal of the applicable tranche is met, as set forth in the performance stock unit award agreement, and subject to the Reporting Person's continued service with the Company through such date, subject to the terms set forth in the performance stock unit award agreement. The achievement of the price per share goal will be determined based on the trailing 30-day average closing price of the Common Stock or, in the event of a change in control of the Company, the consideration paid by an acquiror.
