There was no purchase or sale of the Issuer's Class A common stock in connection with the transfer. The reporting person is a trustee, settlor and beneficiary of the Revocable Trust. The reporting person, in such capacity, may be deemed a beneficial owner of the securities held by the Revocable Trust.
