Item 8.01 - Other Events.

As previously disclosed, since March 2022 Rivian Automotive, Inc. (the “Company”) has been engaged in securities class action litigation in the United States District Court for the Central District of California captioned Charles Larry Crews, Jr. v. Rivian Automotive, Inc., et al., Case No. 2:22-cv-01524-JLS-E (the “Action”).

On October 23, 2025, the Company issued a press release announcing the settlement of the Action. A copy of the press release is filed as Exhibit 99.1 hereunder.
