Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On October 28, 2022, Brad Herr resigned as Chief Financial Officer of the Company.

On November 1, 2022, the board of directors approved the appointment of Patrick Bilton, our Chief Executive Officer, to serve as our interim Principal Financial and Accounting Officer until such time as a new Principal Financial and Accounting Officer is appointed. Mr. Bilton will not be paid any additional compensation for his service as the interim Principal Financial and Accounting Officer.
