Mr. Rodio received a new hire grant at the time he began employment, as previously reported on a Form 4 filed on December 1, 2022. However, pursuant to the terms of his employment, he is not eligible for an additional annual equity award until 2024. As of the date of this amendment, Mr. Rodio beneficially owns no shares of the Issuer's common stock, and he continues to have an option to purchase 50,000 common shares of the Issuer.
