EXPLANATORY NOTE

On November 3, 2025, Logistic Properties of the Americas (“LPA”) issued a press release announcing the signing a new long-term lease with a premier U.S.-based membership warehouse club operator at its Parque Logistico Calle 80 in Bogota, Colombia. A copy of this press release is attached as Exhibit 99.1 to this Form 6-K.
