Section 5 - Corporate Governance and Management

Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On September 6, 2023, Commonwealth Edison Company (“ComEd”), announced that David R. Perez, currently Senior Vice President, Distribution Operations, will assume the role of Executive Vice President and Chief Operating Officer of ComEd, effective January 1, 2024. Mr. Perez, age 53, has served in his current role since November 2019. Prior to that, Mr. Perez served as Vice President, Transmission and Substations from June 2016 until November 2019.

In connection with his new role, effective January 1, 2024, Mr. Perez’s annual compensation will include a base salary of $420,000 and an annual incentive program target opportunity of 55% of his base salary. His long-term incentive target award will be increased to $488,000 effective with his 2024-2026 grant, consistent with the terms of Exelon’s Long-Term Incentive Plan. Long-term incentives (“LTI”) include performance share awards (accounting for sixty-seven percent of the target LTI value) and restricted stock units (accounting for thirty-three percent of target LTI value). Payouts on both the annual incentive program and the performance share awards will be based on the achievement of pre-established performance targets. Mr. Perez remains eligible for benefits similar to those of other ComEd executives, including participation in Exelon’s health, welfare, retirement, relocation, and severance plans.
