- [F1]Pursuant to the terms of the Company's 2012 Equity Incentive Plan and the Restricted Stock Agreement entered into in accordance with the terms of such Plan, the election of seven new directors at the Company's Annual Meeting of Stockholders on August 29, 2014 constituted a "Change of Control" event, which automatically accelerated the vesting of the restricted stock.
