All of these shares of restricted common stock vest on November 3, 2017. These shares of restricted stock are subject to forfeiture, accelerated vesting and other restrictions as more fully set forth in the Plan.
- [F2]Energy Strategic Advisory Services, LLC ("ESAS") is the registered owner of these shares. Effective September 20, 2016, ESAS is owned by Bluescape Energy Recapitalization and Restructuring Fund III LP (the "Fund"), and the Fund is directed by its general partner, Bluescape Energy Partners III GP LLC ("Bluescape"). Mr. Charles John Wilder, Jr. (the "Reporting Person") serves as the Sole Manager of Bluescape and has the power to direct the affairs of Bluescape.
