(the "Merger Agreement"), at the effective time of the merger each share of First Financial Holdings, Inc. common stock was exchanged for 0.4237 shares of SCBT Financial Corporation common stock, with cash paid in lieu of fractional shares.

In the event that the product obtained by the prior sentence is zero or a negative number, then the First Financial Holdings, Inc. stock option will be cancelled for no consideration.
