EXPLANATORY NOTE

On January 10, 2025, Progress Software Corporation (the "Company") filed an amendment on Form 8-K/A ("Amendment No. 1") to the Current Report on Form 8-K filed by the Company with the U.S. Securities and Exchange Commission on October 31, 2024 (the "Original Filing" and together with Amendment No. 1 the "Prior 8-K Filing"). As disclosed in the Original Filing, the Company completed its previously announced purchase of the assets and assumption of certain of the liabilities that collectively comprise the ShareFile business ("ShareFile") on October 31, 2024. Amendment No. 1 was filed for the purpose of satisfying the Company's obligation to file the financial statements and pro forma financial information relating to the ShareFile acquisition pursuant to Item 9.01 of Form 8-K.

This amendment to the Prior 8-K Filing ("Amendment No. 2") is being filed for the purpose of updating the pro forma financial information relating to the ShareFile acquisition to reflect the unaudited pro forma condensed combined statement of operations for the year ended November 30, 2024.

This Amendment No. 2 should be read in conjunction with the Prior 8-K Filing. Except as set forth herein, no modifications have been made to information contained in the Prior 8-K Filing (including the exhibits thereto), and the Company has not updated any information contained therein to reflect events that have occurred since the date of the Prior 8-K Filing.

(b) Pro Forma Financial Information.

The Company is filing the unaudited pro forma condensed combined statement of operations and explanatory notes for the year ended November 30, 2024, which give effect to the acquisition of ShareFile and the financing in respect thereof, as more fully set forth in such pro forma financial information. The unaudited pro forma condensed combined financial information, and the notes related thereto, are filed as Exhibit 99.1 and are incorporated herein by reference.
