The Certificates consist of eighteen classes of certificates (collectively, the "Certificates"), designated as the "Class I-A-1 Certificates", "Class I-A-2 Certificates", "Class II-A-1 Certificates", "Class II-A-2 Certificates", "Class II-A-3 Certificates", "Class II-A-4 Certificates", "Class II-A-5 Certificates", "Class II-A-6 Certificates", "Class III-A-1 Certificates", "Class III-A-2 Certificates", "Class M-1 Certificates", "Class M-2 Certificates", "Class M-3 Certificates", "Class M-4 Certificates", "Class M-5 Certificates", "Class X Certificates", "Class P Certificates" and "Class R Certificates". The Certificates evidence in the aggregate the entire beneficial ownership interest in a trust fund (the "Trust Fund"), consisting of a pool of mortgage loans (the "Mortgage Pool'") of conventional, one- to four- family, adjustable rate, first lien mortgage loans having original terms to maturity up to 30 years (the "Mortgage Loans"). The Mortgage Pool consists of Mortgage Loans having an aggregate principal balance of approximately $434,171,602.39 as of December 1, 2004 (the "Cut-off Date"). The Mortgage Loans were purchased pursuant to the Mortgage Loan Purchase Agreement, dated December 29, 2004, between Seller and Depositor (the "Mortgage Loan Purchase Agreement"). The Class I-A-1 Certificates, Class I-A-2 Certificates, Class II-A-1 Certificates, Class II-A-2 Certificates, Class II-A-3 Certificates, Class II-A-4 Certificates, Class II-A-5 Certificates, Class II-A-6 Certificates, Class III-A-1 Certificates, Class III-A-2 Certificates, Class M-1 Certificates, Class M-2 Certificates, Class M-3 Certificates, Class M-4 Certificates and Class M-5 Certificates were sold by the Depositor pursuant to the Underwriting Agreement, dated February 26, 2004, between the Depositor and Nomura Securities International, Inc., and the Terms Agreement, dated December 22, 2004 (collectively, the "Underwriting Agreement").
