Item 2.02 Results of Operations and Financial Condition.

On January 22, 2025, Hawthorn Bancshares, Inc. issued a press release announcing its financial results for the fourth quarter and the year ended December 31, 2024. A copy of the press release is attached to this report as Exhibit 99.1.

Item 8.01 Other Events.

On January 22, 2025, Hawthorn Bancshares, Inc. announced that its Board of Directors approved a quarterly cash dividend of $0.19 per common share, payable April 1, 2025 to shareholders of record at the close of business on March 15, 2025. A copy of the press release relating to such announcement is attached to this report as Exhibit 99.2.
