- [F1]Such shares of restricted common stock were issued to Mr. Kuby upon his re-election to the Board at the 2012 annual meeting of stockholders. One half of these shares will vest on the earlier of June 27, 2013 and the date of the 2013 annual meeting of stockholders, and the other half will vest on the earlier of June 27, 2014 and the date of the 2014 annual meeting of stockholders. All shares were received in consideration for Mr. Kuby's service as a director of the Company.
- [F2]285,647 shares are held by the Kuby-Gottlieb Special Value Fund of which North Star Investment Management Corporation ("North Star") is the investment manager. 62,375 shares are held in other accounts managed by North Star. Mr. Kuby may be deemed to beneficially own such shares because he is the Chief Investment Officer and a member of the investment committee of North Star. Mr. Kuby disclaims ownership of such shares, except to the extent of his pecuniary interest therein. Also includes 1,408 shares of common stock and 3,986 shares of restricted common stock owned personally by Mr. Kuby.
- [F3]Twenty-five percent (25%) of the shares subject to such option shall vest and become exercisable on June 27, 2013 (the completion of one year of service measured from the grant date). The balance of the shares subject to such option shall vest and become exercisable in a series of thirty-six (36) successive equal monthly installments upon completion of each additional month of service until all of the options are vested.
