- [F1]Pursuant to an Agreement and Plan of Merger, dated as of August 9, 2017 (the "Merger Agreement"), by and among Invitation Homes Inc. ("INVH"), Invitation Homes Operating Partnership LP, IH Merger Sub, LLC ("REIT Merger Sub"), Starwood Waypoint Homes ("SFR") and Starwood Waypoint Homes Partnership, L.P., SFR merged with and into REIT Merger Sub, with REIT Merger Sub surviving as a wholly-owned subsidiary of INVH. Pursuant to the Merger Agreement, (i) each of the 2,702 outstanding common shares of beneficial interest, par value $0.01 per share, of SFR held by the reporting person was converted into the right to receive 1.6140 shares of common stock ("INVH Common Stock"), par value $0.01 per share, of INVH and cash in lieu of any fractional INVH Common Stock and (ii) each of the 22,126 outstanding time-vesting restricted share units of SFR held by the reporting person was converted into a restricted stock unit of INVH.
