- [F1]Includes 988 shares, 600 shares and 53 shares of the Issuer's Common Stock issued under the Issuer's 2016 Stock Plan as director fees for board and committee service, as applicable, by Brendan MacDonald, Jeffrey Giller and Tom Calahan, respectively, for the quarter ended March 31, 2018. Mr. MacDonald and Mr. Giller are members of, and Tom Calahan is employed by, StepStone Group Real Estate Holdings LLC, general manager of StepStone Group Real Estate LP, the sole member and investment manager of StepStone Rep III (GP), LLC, the general partner of SREP III Flight-Investco, L.P. The terms of their employment with StepStone Group Real Estate Holdings LLC provide that all director fees received by each of them are for the sole benefit of SREP III Flight-Investco, L.P. Mr. MacDonald and Mr. Calahan, as representatives of the Reporting Person, are Directors of the Issuer.
- [F2](Continued from Footnote 1) Mr. Giller ceased to be a Director of the Issuer on March 14, 2018. For purposes of Section 16 of the Securities Exchange Act of 1934, as amended, the Reporting Person is deemed a Director by Deputization by virtue of its representation on the Board of Directors of the Issuer.
- [F3]The total number of shares have been reduced by 315 shares that will not vest pursuant to Mr. Giller's resignation as Director on March 14, 2018.
- [F4]StepStone Group Real Estate Holdings LLC is the general partner of StepStone Group Real Estate LP, the sole member and investment manager of StepStone REP III (GP), LLC, the general partner of SREP III Flight - Investco L.P., the record holder of the shares. Each of the foregoing entities other than SREP III Flight - Investco, L.P. disclaims beneficial ownership of the shares except to the extent of a pecuniary interest therein.
