- [F1]These shares of common stock were acquired in connection with the consummation of that certain stock and note purchase agreement, dated May 20, 2019, by and between the Reporting Person and Elemetal, LLC (the "Purchase Agreement"), pursuant to which the Reporting Person purchased certain assets, including these shares of common stock, from Elemetal, LLC, in exchange for cash and certain membership units of NTR Metals, LLC, Elemetal, LLC and JL-PN, LLC. In connection with the consummation of the Purchase Agreement, the Reporting Person assigned these shares of common stock to N10TR, LLC.
- [F2]The Reporting Person is an indirect beneficial owner of 12,814,727 shares of common stock held by N10TR, LLC and 6,365,460 shares of common stock held by Eduro Holdings, LLC. The Reporting Person disclaims beneficial ownership of these securities except to the extent of his pecuniary interest therein, and this report shall not be deemed an admission that the Reporting Person is the beneficial owner of such securities for purposes of Section 16 or for any other purpose.
