Accordingly, Mr. Azar and Mr. Freidheim share voting and dispositive power over the shares held by the Sponsor and may be deemed to beneficially own such shares. Each of Mr. Azar and Mr. Freidheim disclaims beneficial ownership of such securities except to the extent of his pecuniary interest therein.
