Pursuant to the Merger Agreement, each share of OCSI's common stock, having a market value of $8.51 per share at the close of trading on March 18, 2021, was converted into the right to receive 1.3371 shares of the Issuer's common stock, par value $0.01 per share, having a market value of $6.16 per share at the close of trading on March 18, 2021.
