Each warrant entitles the holder thereof to purchase one-half of one Class A ordinary share. These warrants are identical to the warrants sold in Issuer's initial public offering, subject to certain limited exceptions as described Issuer's Registration Statement on Form S-1 (File No. 333-261753), as amended (the "Registration Statement").
