Capital Management LP, a Delaware limited partnership (the "Investment Manager"), Schafer Brothers LLC, a Delaware limited liability company ("SB LLC") and Mr. Oscar S. Schafer ("Mr. Schafer", collectively with the Investment Manager and SB LLC, the "Reporting Persons") have sold 3,457,550 shares of ULURU Inc. (the "Issuer") common shares on April 1, 2010.
- [F2]The Reporting Persons have investment discretion with respect to shares of common stock held by a Cayman Islands exempted company, two Delaware limited partnerships and a separately managed account which is held for the benefit of a third party as more fully described in: (i) the Form 3 filed on December 15, 2006 (Accession Number: 0000902664-06-002734); (ii) the Form 4 filed on April 4, 2007 (Accession Number: 0000902664-07-001397); (iii) the Form 4 filed on April 16, 2007 (Accession Number: 0000902664-07-001470), (iv) the Form 4 filed on June 20, 2007 (Accession Number: 0000902664-07-002003), (v) the Form 4 filed on November 14, 2007 (Accession Number: 0000902664-07-003351) and (vi) the Form 4 filed on April 2, 2010 (Accession Number: 0000902664-10-002371).
- [F3]Each of the Investment Manager, SB LLC and Mr. Schafer may be deemed to beneficially own 8,061,522 shares of common stock which represents approximately 9.84% of the outstanding shares of common stock.
