- [F1]Disposed of pursuant to an Agreement and Plan of Merger between the Issuer, Grifols, Inc. and Grifols, S.A. (the "Merger"). Upon the consummation of the Merger, each share of common stock of the Issuer held by Talecris Holdings, LLC was converted into the right to receive a combination of (i) $19.00 in cash, without interest, and (ii) 0.641 of a non-voting (Class B) share in Grifols, Inc. Prior to the Merger, Talecris Holdings, LLC held 61,175,236 shares in the Issuer; upon the consummation of the Merger, such shares were converted into the right to receive an aggregate of $1,162,329,484.00 in cash and 39,213,326.276 non-voting shares in Grifols, Inc. The non-voting shares in Grifols, Inc. are a new security for which, at the time of the Merger, there was no established trading market.
- [F2]Ampersand 1999 Limited Partnership ("Fund 1"), Ampersand 1999 Companion Fund Limited Partnership ("Fund 2"), Ampersand 2001 Limited Partnership ("Fund 3"), Ampersand 2001 Companion Fund Limited Partnership ("Fund 4"), and Ampersand Plasma Holdings, L.L.C. ("Fund 5") (collectively referred to as the "Funds"), own a 25.7% equity interest in Talecris Holdings, LLC. AMP-99 Management Company Limited Liability Company ("AMP-99 MC LLC") is the General Partner of Fund 1 and Fund 2, AMP-01 Management Company Limited Liability Company ("AMP-01 MC LLC") is the General Partner of Fund 3 and Fund 4, and Fund 3 is the Managing Member of Fund 5 (AMP-99 MC LLC, AMP-01 MC LLC and the Funds collectively referred to as the "Ampersand Entities"). Each of the Ampersand Entities disclaims beneficial ownership of the securities reported herein, except to the extent of its respective pecuniary interest.
