(b) On April 5, 2010, Louis Lipschitz notified Finlay Enterprises, Inc. (the “Registrant”) that he was resigning from the Board of Directors of the Registrant and the Board of Directors of the Registrant’s wholly-owned subsidiary, Finlay Fine Jewelry Corporation, effective April 16, 2010.
