- [F1]This represents an award of restricted stock units under the Issuer's 1993 Stock Option/Stock Issuance Plan in an exempt transaction under Rule 16b-3(d). Each unit will entitle the Reporting Person to one share of the Issuer's common stock upon vesting. 50% of the units will vest upon the director's completion of one (1) year of Board service measured from the grant date, and the remaining units will vest in three (3) successive equal annual installments upon such director's completion of each of the next three (3) years of Board service thereafter. The units will vest in full upon an accelerated basis upon the Reporting Person's cessation of Board service by reason of death or disability or upon certain changes in control of the Issuer.
