Upon the merger of the Issuer with and into a wholly owned subsidiary of the Reporting Person on October 26, 1998, (i) all outstanding shares of capital stock of the Issuer were either converted into the right to receive a specified cash payment or canceled, (ii) the Issuer ceased to exist as a separate corporate entity, and (iii) the option referred to in the preceding sentence expired.
