- [1]The Reporting Person previously filed a Form 3, dated September 3, 1998, reporting the acquisition from certain stockholders of the Issuer, pursuant to a Stockholder Agreement dated as of August 27, 1998, of an option to purchase all shares of capital stock of the Issuer owned by such stockholders. Upon the merger of the Issuer with and into a wholly owned subsidiary of the Reporting Person on October 26, 1998, (i) all outstanding shares of capital stock of the Issuer were either converted into the right to receive a specified cash payment or canceled, (ii) the Issuer ceased to exist as a separate corporate entity, and (iii) the option referred to in the preceding sentence expired.
