(the "Company") completed the merger pursuant to the Agreement and Plan of Merger, dated November 17, 2016, among the Company, Beams Power Investment Limited ("Parent") and Beams Power Merger Sub Limited, a wholly-owned subsidiary of Parent ("Merger Sub"), as a result of which Merger Sub was merged with and into the Company, with the Company surviving the merger as a wholly-owned subsidiary of Parent. In connection with the merger, 36,000,000 shares of common stock of the Company beneficially owned by Parent were cancelled and no payment was made with respect to such shares.
