("Vista Outdoor"), the Issuer, CSG Elevate II Inc., CSG Elevate III Inc., and, solely for the purposes of specific provisions therein, CZECHOSLOVAK GROUP a.s., Vista Outdoor transferred to the Issuer the Contribution Amount (as defined in the Merger Agreement) in exchange for shares of common stock of the Issuer ("Common Stock").
