- [F1]On April 12, 2016, ASP Blade Intermediate Holdings, Inc., a Delaware corporation ("Parent") acquired the issuer pursuant to that certain Agreement and Plan of Merger, dated as of December 9, 2015 (the "Merger Agreement"), among the issuer, Parent and ASP Blade Merger Sub Inc., a Delaware corporation and wholly owned subsidiary of Parent ("Merger Sub"). In accordance with the terms of the Merger Agreement Merger Sub merged with and into the issuer (the "Merger"), with the issuer surviving the Merger as a wholly owned subsidiary of Parent. The Merger is more fully described in the issuer's proxy statement filed with the Securities and Exchange Commission on March 9, 2016.
- [F2]Pursuant to the terms of the Merger Agreement, at the Effective Time, each restricted stock unit with respect to the issuer's common stock held by the reporting person immediately prior to the Effective Time, which was granted on May 22, 2015, was cancelled and converted into the right to receive the per share merger consideration, without interest and less any applicable withholding taxes.
- [F3]Pursuant to the terms of the Merger Agreement, at the Effective Time, each deferred stock unit with respect to the issuer's common stock held by the reporting person immediately prior to the Effective Time (each of which was granted under the Non-Employee Director Deferred Stock Unit Plan) was cancelled and converted into the right to receive the per share merger consideration, without interest and less any applicable withholding taxes.
