Section 1.01 – Business and Operations

Item 1.01 Entry into a Material Definitive Agreement.

On January 29, 2010, Tamalpais Wealth Advisors (“TWA”) a wholly owned subsidiary of Tamalpais Bancorp (the “Company”) entered into an agreement with CSI Capital Management (“CSI”) whereby the staff of TWA will be absorbed by CSI and its clients will be referred to the San Francisco-based firm. Under terms of the agreement, the Company will share the revenues from the clients referred to CSI for a period of five years. A copy of the press release is attached as Exhibit 99.1 to this Form 8-K and is incorporated herein by reference.
