- [F1]The board of directors of Markland Technologies, Inc. ("Markland") had approved conditional grants over a five-year period commencing on October 20, 2006 to Mr. Pereira of up to 500,000 shares of Technest common stock currently held by Markland in consideration of certain Markland fiscal 2006 achievements. These grants were subject to significant "vesting" restrictions in that Mr. Pereira will receive such shares in annual 20% increments commencing on the first anniversary of October 20, 2006 only if he remained an employee of Markland at each such interval and were also subject to accelerated "vesting" on the occurrence of certain events. As a result of certain events, the vesting of certain of these grants was accelerated and Mr. Pereira received a total of 375,000 shares of Technest Common Stock from Markland.
