entire outstanding principal balance of the Loan until the Loan has been paid down by $22,500,000.00 and then held as additional collateral for the Loan in the All
Purpose Reserve Subaccount. A portion of the Capital Event Differential Amount (Net Sale Proceeds/Net Refinance Proceeds less $22.5MM), if any, will be
distributed to Lender and new borrower based on various predetermined percentages until Lender has been repaid the entire amount of the Debt. The loan maturity
