The initial Form 4 was filed to report a grant to the Reporting Person of 20,833 shares pursuant to Rule 16b-3(d). Issuer and the Reporting Person renegotiated this grant, and the Reporting Person returned to Issuer 10,417 of the initial 20,833 shares for a cash payment in lieu thereof. The Reporting Person had 4,167 of the 10,416 still issued to him placed in trust for the benefit of one of his minor children. This amended Report reflects these changes to the grant reported in the initial Form 4 filed on January 14, 2005. All share figures contained herein reflect the Issuer's recent one-for-four reverse stock split.
