Item 5.02			Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On August 25, 2025, Jamie McConnell notified Chipotle Mexican Grill, Inc. (“Chipotle”) of her resignation, effective immediately, as Chief Accounting and Administrative Officer of Chipotle to pursue a new professional opportunity. Her resignation is not the result of any dispute or disagreement with Chipotle, including with respect to any matters relating to Chipotle’s accounting practices, financial reporting, operations or policies.
