ITEM 1.02 Termination of a Material Definitive Agreement

On March 5, 2007, TMSF Holdings, Inc. (the “Company”) announced that it has terminated its agreement to acquire certain assets of the wholesale division of Folsom, CA-based Central Pacific Mortgage (“CPM-Wholesale”), primarily due to current adverse market conditions.

TMSF will pursue other opportunities in the marketplace that will better serve its shareholders.

A copy of the press release announcing the transaction is attached hereto as Exhibit 99.1 and is herein incorporated by reference.
