Item 8.01 Other Events.

On November 30, 2010 and December 15, 2010, Axcess International Inc. (“AXCESS” or the “Company”) failed to pay all of its employees due to a lack of operating capital. The Company intends to pay all of its employees. Investment capital has been committed by multiple current investors but has been delayed in being provided. There can be no assurance that it will be provided.
