Item 8.01.

Other Events.

On November 8, 2019, CF Mutual Holding Company (the “MHC”), the mutual holding company parent of Cincinnati Bancorp (the “Company”) and of the Company’s wholly-owned bank subsidiary, Cincinnati Federal, received all requisite regulatory approvals to proceed with the MHC’s conversion from a mutual holding company to a stock holding company pursuant to the previously reported Plan of Conversion and Reorganization. In addition, on November 8, 2019, the Registration Statement on Form S-1, as amended, filed by Cincinnati Bancorp, Inc., the proposed stock holding company for Cincinnati Federal, was declared effective by the Securities and Exchange Commission.
