- [F1]Represents a grant of restricted stock units ("RSUs") in connection with the reporting person joining Porch Group, Inc.'s (the "Company") Board of Directors. The grant of RSUs was made pursuant to the Company's Non-Employee Director Compensation Policy. Each RSU represents a right to receive one share the Company's common stock upon vesting. The shares underlying the RSUs will vest on June 9, 2022 ("Vesting Date"), subject to the reporting person remaining a member of the Company's board of directors through the Vesting Date. The shares underlying the RSUs shall have resale restrictions pursuant to which two-thirds of the vested shares underlying the RSUs may not be sold after the Vesting Date. The resale restrictions expire in equal increments on the first and second anniversaries of the Vesting Date.
