Shares were sold as part of a standstill agreement and separate purchase agreement related to withdrawal of proxy for 2022 annual meeting. These securities may be deemed to have been beneficially owned by the reporting persons because he controls ECM, and ECM may be deemed to have had a beneficial ownership of these securities because it served as the investment manager to separate managed accounts and/or investment partnerships.
- [F2]For purposes of calculating disgorgement of swing trade profits pursuant to Section 16(b), securities held in accounts managed by ECM were excluded on the basis that ECM is a registered investment adviser and neither Mr. Eriksen, ECM, nor CCP had any beneficial interest. Cedar Creek Partners is issuing a check for disgorgement of $3,270.68 to Nocopi Technologies and Mr. Eriksen is issuing a check for $978.40.
