Item 8.01.

Other Events.

On September 19, 2022, the Board of Directors of Cincinnati Bancorp, Inc. (the “Company”) authorized a 72,587-share increase to the Company’s previously reported authorization to repurchase up to 148,781 shares of the Company’s outstanding common stock. As of September 19, 2022, the Company had repurchased 80,268 shares under the original repurchase authorization. The Company intends to conduct any repurchases through open market purchases, including by means of a trading plan adopted under SEC Rule 10b5-1, or in privately negotiated transactions, subject to market conditions and other factors. There is no guarantee as to the exact number of shares that the Company may repurchase.
