OvenWorks, LLLP is the holder of 1,932,650 shares of TurboChef Technologies, Inc.'s Series D Preferred Stock, which shares are convertible into 38,653,000 shares of Common Stock. Shares of the Series D Preferred Stock generally vote together with the shares of the Common Stock on an as-converted basis, vote as a class with respect to certain specified matters and have the right to elect two-thirds of the members of the Board of Directors. As a limited partner, Mr. Welsh has no right to participate in the decisions concerning the voting, disposition or conversion of any such securities, and he accordingly disclaims beneficial ownership of the securities held by OvenWorks, LLLP.
