Explanation of Responses: (1) Mr. Guillama was a noteholder of Williams Software, Inc. DBA FirstPop, which was acquired by the Issuer on July 27, 2001. Pursuant to and in accordance with the terms of acquisition, Mr. Guillama's shares of common stock were issued in consideration of the debt due him by Williams Software and as a reimbursement for expenses, together in an aggregate principal amount now estimated to be $340,000. The options were granted in consideration of Mr. Guillama's agreement to be employed by the Issuer.
