(MPG) common stock in connection with the Issuer's acquisition of MPG under the Agreement and Plan of Merger, dated as of November 3, 2016, among the Issuer, MPG, and a wholly-owned subsidiary of the Issuer (the Merger). At the effective time of the Merger, each outstanding share of MPG common stock (as well as each outstanding restricted stock award of MPG and each share underlying outstanding restricted stock units with respect to MPG) held by the reporting person was converted into (i) $13.50 in cash, without interest, and (ii) 0.5 of a share of Issuer common stock. On the effective date of the Merger, the closing price of the Issuer's common stock was $17.00. All outstanding restricted stock awards of MPG and restricted stock units with respect to MPG held by the reporting person vested in connection with the Merger.
