In addition, pursuant to the Merger Agreement, each restricted stock unit held by the reporting person as of immediately prior to the effective time, fully vested, was cancelled and was converted into a right to receive 0.5500 shares of UMB common stock, $1.00 par value, for each share of HTLF common stock underlying such restricted stock unit, with cash payable in lieu of any fractional shares.
