Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers

On March 31, 2010, Frontier Financial Corporation (the “Corporation”), the bank holding company for Frontier Bank (“Frontier”), announced that John J. Dickson, President of Frontier, left employment with Frontier effective March 29, 2010, due to a dispute over the timing of a planned vacation. In addition, by letter dated March 30, 2010, Mr. Dickson resigned as a director of both Frontier and the Corporation (jointly the “Frontier Companies”). Mr. Dickson served on the Loan Committee and Trust Investment Committee for the Frontier Companies. His resignation as a member of the Board of Directors of Frontier Bank and Frontier Financial Corporation was related to the discontinuance of his employment as President of Frontier Bank. Mr. Dickson provided a letter to Mr. Patrick Fahey, Chairman and Chief Executive Officer of Frontier Bank, regarding the reasons for his resignation as a Director of Frontier Bank and Frontier Financial Corporation. A copy of Mr. Dickson’s resignation letter is attached hereto as Exhibit 99.1.
